Role:

We are seeking a motivated, smart and flexible attorney to join Splunk’s award-winning Corporate Legal team. In this role, you will support the company’s corporate legal functions, with an initial focus on supporting SEC reporting, M&A, corporate governance, and global subsidiary governance, and evolving responsibilities depending on your interests and the business’ needs. You will have both a meaningful role in a growing legal department and an amazing opportunity to develop professionally with the support of a collaborative and experienced team. The role will be located at Splunk’s San Francisco headquarters and will report to Splunk’s Senior Director, Corporate (Legal).

Responsibilities:

  • Assist with SEC reporting, corporate governance, proxy statement preparation, annual stockholder meeting, corporate secretarial and related public company obligations.
  • Assist with Splunk’s corporate development activities, including structuring transactions, conducting comprehensive due diligence reviews, documenting and negotiating transactions, and ensuring seamless integrations.
  • Assist with subsidiary and international expansion matters, including tax optimization structures, and other tax matters.
  • Develop and implement standardized templates and processes for repeatable transactions, that will advance and scale Splunk’s business.
  • Provide legal advice on Splunk’s global compensation programs and professionals, including global equity and executive compensation plans, equity administration matters and Section 16 reporting.
  • Work collaboratively and responsively with a broad range of colleagues cross-functionally and internationally, ensuring good relationships between legal, corporate development, finance, human resources and operations to facilitate a coordinated team approach.
  • Pitch-in on whatever legal work needs doing, whenever it needs to be done.

Requirements:

  • 2-6 years relevant experience as a general corporate, securities and M&A attorney in a large law firm and/or in-house legal department
  • JD degree with excellent academic credentials
  • Licensed to practice law in California preferred
  • Excellent written, communication and interpersonal skills and the ability to interface with, and gain the respect of, stakeholders at all levels
  • Developed organizational capabilities and the ability to manage several simultaneous projects under deadline pressure
  • Excellent business judgment and commercial sense
  • Prior experience working at or with technology companies is preferred
