Summary:

Working with the C-suite, Compliance Officer, SVP of Human Resources and PTC’s business and clinical leaders, the VP, In-House Counsel will constantly be thinking of better ways to operate, reduce risk, leverage contracting and structure growth opportunities.  In addition, she/he will serve as a strategic business partner of the organization and proactively provide counsel and training in subject matters related to the system as a whole.  The successful candidate must have an outstanding record of achievement with at least seven years of relevant experience as an attorney supporting medical facilities, physicians and other healthcare providers (five years of which were with a law firm and/or government agency).  

Essential Duties:

  • Ensure effective contractual risk management across PTC
  • Support the integration of risk management practices into PTC’s operational units to improve business performance and reduce operational and regulatory risk
  • Provide support, guidance and expertise on enterprise structure and labor strategy in support of PTC’s major market strategies
  • Ensure regulatory compliance and good governance practices are in place and actively managed
  • Effectively manage claims for PTC and subsidiaries (legal, property & casualty, workers comp, uninsured litigation)
  • Manage Contractual Risk
  • Ensure continuous improvement of processes which minimize, mitigate, or eliminate contract risk
  • Communicates best practices and lessons learned
  • Training for subsidiary personnel in various roles, as appropriate
  • Standard, effective and timely contract review processes
  • Assist the operating units in identifying the probability of risk identified in a contract and how to deal with the risk
  • Provide a suite of options or alternatives to assist in contract negotiations, including direct customer interfacing in specific or significant contract issues. Integrate Legal Risk Management Practices
  • Collaborate with the operating units on contract reviews with specific focus on risk mitigation and acting as a partner with the operations on providing practical and creative business solutions
  • Manage PTC risk in balance with the need to win work and grow the business
  • Actively participate in large project contract reviews and enterprise risk reviews when appropriate
  • Lead the legal aspects of joint venture and acquisition opportunities
  • Provide legal advice, opinion and support regarding labor issues, charges and strategy
  • Establish and manage outside legal resources when required for labor issues
  • Comprehensive approach to Claims Management
  • Manage claim defense strategy, litigation, cost of and the settlement of claims
  • Establish trusted outside counsel relationships to ensure claims management and specialty legal support are available when needed and managed to maximize value to PTC Compliance and Governance
  • Working with various PTC Operations, ensure policies and procedures are compliant with local, state and federal laws
  • Participate as a member of the Compliance Committee including, when designated, conduct or manage investigations of potential non- compliance or governance issues
  • Insure all procedural and contractual requirements as defined in the bylaws for the company are met
  • Actively participate with executive leadership in strategy execution, operational excellence initiatives and general leadership of the company
  • Provide relevant legal oversight at the executive level regarding the direction and operation of the company
  • Enhance legal policies and procedures manual
  • Enhance and maintain a legal and compliance documents database for internal control purposes, as well as for future change of controls 

Qualifications:

  • Bar certified in the state of NJ; preferred to have bar certification in PA/KY/OH as well
  • 15+ years of post-law school experience; 5+ years as an in-house counsel;
  • Private equity-backed company experience preferred;
  • Having been in-house counsel during a change of control a plus;
  • Healthcare experience is a strongly preferred;
  • Excellent academic credentials;
  • A law degree from an ABA accredited school of law
