Director, EMEA Commercial Transactions


This will be an opportunity to be the first EMEA based attorney for one of the fastest growing, publicly traded, technology companies. 

We need an experienced corporate attorney with significant expertise and confidence in drafting and negotiating commercial and license agreements with enterprise customers, as well as an ability to partner with EMEA sales executives.  

The role requires experience working with both on premise software licensing transactions (including support and maintenance requirements), SaaS and other cloud based offerings, as well as working knowledge of legal issues pertaining to Nutanix’s distribution and resell channels.  You can expect to work on a wide range of issues including intellectual property, open source, data security and data privacy.  

You should be someone who likes to work in a demanding, high growth, fast-paced environment.

Principal Responsibilities

  • Structuring, drafting and negotiating a broad range of licenses and other software transactions, both domestic and international
  • Provide full legal support for software product teams from go-to-market issues to marketing and sales efforts in enterprise, channel distribution and direct customer transactions
  • Partner with accounting, sales operations, technology operations, and other stakeholder teams to ensure agreements are consistent with internal corporate policies and processes
  • Assist in drafting forms and establishing processes and procedures
  • Serve as a key lawyer/legal advisor on all major business transactions in EMEA.
  • Provide analysis and counsel on legal issues to include; proposed new products, protecting intellectual property, compliance issues for a publicly traded company, nondisclosure agreements, outsourcing agreements and business strategic planning.
  • Conduct and coordinate research into a variety of legal issues. 

Secondary Responsibilities

  • Provide legal advice and consultation on issues arising from actual or anticipated lawsuits.
  • Anticipate and guard against legal risks facing the company.
  • Develop and recommend company policy and position on legal issues to EMEA.
  • Represent the Company or its officials in various legal proceedings.
  • Write and administer complex vendor, client, and employment contracts.
  • Develop and recommend of operating policy and procedural improvements.
  • Selection, retention, management and evaluation of outside counsel.
  • Hire and develop a team of transaction attorneys and/or contract negotiators as business requires.
  • Other duties as assigned



  • A minimum of 8 years of relevant experience, including at a leading law firm as a corporate or transactional attorney and significant prior in-house experience
  • Experience drafting and negotiating a variety of commercial agreements, including EULA’s, Enterprise License Agreements, technology licenses, SaaS and cloud-based agreements, development agreements, sales & marketing-related agreements and master services agreements
  • Expertise negotiating and drafting complex commercial agreements for a high growth technology company
  • Software licensing experience is a requirement
  • Superior verbal and written communication and analytical skills, coupled with the ability to resolve complex issues in creative and effective ways
  • Well versed and familiar with data privacy and GDPR rules and regulations
  • Experience working directly with and partnering with high-ranking corporate executives, senior managers and engineering professionals
  • Ability to negotiate commercial transactions with potential customers, partners and third parties in a face to face setting
  • Previously hired, built and managed an EMEA based legal team
