Role Description

 

Reporting to the General Counsel, the Legal Counsel will serve as a key strategic partner to our business team members, providing practical legal advice with a strong focus on supporting business objectives. The Legal Counsel will be responsible for managing a diverse portfolio of legal matters critical to Kal Tire’s operations, including commercial contracts, privacy, intercompany legal affairs and contracts management, while supervising and supporting litigation and labour and employment matters. This role will be pivotal in ensuring successful business outcomes, risk mitigation and legal compliance in these areas, while also supporting Kal Tire’s growth through mergers & acquisitions and other transactional matters.

 

Core Responsibilities

 

Commercial Contracts

  • Draft, review, and negotiate a variety of commercial contracts, including commercial sales and services agreements, supplier agreements, customer terms and conditions, procurement matters, mining tire supply and service agreements and the review of proposed terms and conditions, including as part of competitive bid processes.
  • Provide guidance on contract terms, risks, and obligations to internal stakeholders to ensure alignment with business objectives.

 

Privacy

  • Support the General Counsel in developing, implementing, and maintaining comprehensive privacy policies, procedures, and practices to ensure compliance with applicable laws and regulations.
  • Collaborate with cross-functional teams to conduct privacy impact assessments (PIAs) for new projects, services and initiatives, identifying and addressing potential privacy risks and implementing appropriate safeguards to protect customer and team member data.

 

Intercompany Legal Affairs

  • Manage legal matters related to domestic and international intercompany transactions.
  • Collaborate with internal teams to facilitate tax planning and financing arrangements between intercompany entities.

 

Contract Management

  • Implement and maintain effective contract management processes to ensure compliance and mitigate risks associated with contract lifecycle management.
  • Develop and maintain a centralized repository for contracts and related documentation.

 

Labour & Employment

  • Provide legal guidance on labour and employment matters to the Legal Analyst and Labour Relations Specialist, including employment contracts, collective agreements, workplace policies, and compliance with labour and employment laws and regulations.
  • Assist the Legal Analyst in resolving employment disputes and ensuring fair and equitable treatment of team members.

 

Litigation and Disputes

  • Manage critical litigation matters and assist Legal Analyst in assessing potential claims, developing litigation strategies and overseeing external counsel (as necessary).
  • Collaborate with internal stakeholders to implement risk management measures and minimize the likelihood of future claims.

 

Mergers & Acquisitions

  • Support General Counsel on business acquisition activities, including due diligence, negotiation, and documentation.
  • Assist in providing legal advice on transactional matters and post-acquisition integration activities.

 

Work Experience

  • Minimum 5 years of post-call experience in a corporate legal environment or top-tier law firm; preference for experience with medium to large complex organizations.

  • Proficient with MS Office (Outlook, Word, Excel).
  • Personable, and skilled at developing and maintaining relationships with sophisticated clients.

 

Education

  • A Juris Doctor (JD) or Bachelor of Law (LLB) degree.
  • Membership in good standing with the Law Society of B.C. or an ability to readily transfer to the Law Society of B.C. from another Canadian Law Society.

 

Special Requirements

  • Travel may be required, up to 10%
