Deputy General Counsel, Strategic Initiatives

Position Summary:

The Deputy General Counsel, Strategic Initiatives is a key member of our legal team and is responsible for providing strategic legal and business insight to the executive team. particularly with respect to business development and research & development transactions and IP portfolio planning.

The DGC should have expertise in biotech licensing transactions and will have a good understanding of intellectual property law, including patents, trade secrets and know-how, and commercial/contract law.  A strong understanding of manufacturing and technical operations is a plus. DGC will be responsible for working collaboratively with the GC to manage & complete complex assignments that further the strategic goals & objectives of Apellis.


In fulfilling these responsibilities, the DGC will:

  • Work closely with the GC and the other members of the management team on formulating business development and IP strategy
  • Provide support for business development and R&D transactions
  • Plan, develop, and execute intellectual property strategy with management and outside patent counsel
  • Oversee internal knowledge management
  • Work to secure freedom-to-practice for future technology and product road-maps of the business
  • Develop policies and procedures for the various business functions within Apellis
  • Counsel the business on evolving developments in global licensing and IP law, recommending policy / process changes as needed to achieve business goals and efficiencies
  • Other duties as assigned

Education, Registration & Certification:

  • Juris Doctorate from an accredited law school
  • Member in good standing to a state bar within the United States
  • Bachelor of Science or more advanced degree in a scientific or technical field of discipline from an accredited university or college desirable but not strictly required


  • A minimum of 7-10 years of experience in licensing/IP practice in biotech industry or law firm
  • Previous experience in pre-commercial or commercial biotech a plus
  • Previous experience working with manufacturing and technical operations a plus
  • Experience with negotiating and documenting licensing/IP transactions and/or dispute settlements
  • Strong understanding of global and US IP and commercial laws

Physical Demands and Work Environment:

This is largely a sedentary role; however, some filing is required. This would require the ability to lift files, open filing cabinets and bend or stand on a stool as necessary.

This job operates in a professional office environment and routinely uses standard office equipment such as computers, phones, photocopiers, filing cabinets and fax machines.
